Spaceboy User Agreement

This User Agreement (the "Agreement") governs access to and use of Spaceboy, including the Spaceboy website, dashboard, mobile applications, command-line tools, application programming interfaces, Slack interface, repository integrations, code agents, remote development workspaces, hosted deployments, and related services (collectively, the "Service"). The Service is provided by Spaceboy, Inc. ("Spaceboy," "we," "us," or "our").

By creating an account, connecting a repository or third-party service, using the Spaceboy CLI, installing the Spaceboy Slack app, initiating an agent task, deploying an environment, or otherwise using the Service, you agree to this Agreement. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "Customer" or "you" means that organization.

1. Overview of the Service

Spaceboy is an AI-assisted software development platform designed to help users create, connect, maintain, inspect, review, modify, and deploy software projects. Depending on the features enabled for your account and plan, Spaceboy may allow you to:

  • create and manage accounts, users, organizations, projects, repositories, agents, and project settings;
  • sign in using supported authentication methods, including email/password, magic link, Google, Apple, and Microsoft;
  • create new projects from templates, with repositories provisioned for you, or migrate existing GitHub repositories you already control into Spaceboy-managed projects ("Repo Migration"), in which case Spaceboy reads your source repository and provisions a new Spaceboy-managed repository containing the migrated code;
  • connect or use integrations such as GitHub, Slack, Google Cloud, Cursor, Shopify, Apple App Store Connect, and other supported developer tools;
  • run AI coding agents in remote development workspaces streamed to your browser, where agents and users can inspect code, run commands, install dependencies, run tests, and preview applications;
  • generate code, tests, documentation, diffs, pull requests, commit messages, project plans, comments, summaries, code reviews, and recommendations;
  • deploy projects to hosted environments operated by Spaceboy, including web hosting, serverless functions, databases, and end-user authentication services, or to your own connected cloud accounts;
  • connect custom domains to deployed environments and configure sender domains for authentication emails sent to your application's end users;
  • preview Shopify theme projects against your own store, build and distribute iOS applications to real devices through TestFlight using your own Apple App Store Connect account, and build Android applications as signed installable packages;
  • send and receive instructions through the dashboard, CLI, Slack, mobile app, or other supported interfaces; and
  • query and manage databases provisioned for your deployed environments, including through natural-language and SQL tools.

The Service may be offered as a hosted web application, CLI, agent runtime, repository app, Slack app, mobile app, API, or other interface. Not every feature is available to every customer or plan, and we may add, remove, suspend, or modify features over time.

2. Accounts, Organizations, and Users

2.1 Account creation. You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your login credentials and API keys and for all activity under your account.

2.2 Organization accounts. If you create or join an organization account, the organization may control access to projects, repositories, integrations, billing, usage credits, user roles, audit logs, and Customer Data associated with that organization. Organization administrators may add or remove users, change permissions, configure integrations, view activity, and access content associated with the organization.

2.3 User roles and seats. Spaceboy may support roles such as owner, admin, and member, and team plans may be billed per seat. You are responsible for assigning appropriate permissions and for ensuring that users and agents have only the access required for their work.

2.4 Authorized users only. You may not share accounts, bypass access controls, or allow unauthorized persons to access the Service. You must promptly notify us of suspected unauthorized access or security incidents involving the Service.

3. Customer Data and Project Content

3.1 Definition. "Customer Data" means code, repositories, files, prompts, chat messages, commands, logs, configuration data, credentials submitted by you, integration metadata, project settings, documentation, issues, pull requests, uploaded assets, generated outputs, deployed application content, and other content submitted to, generated through, or processed by the Service on your behalf, including data belonging to the end users of applications you deploy through the Service.

3.2 Ownership. As between you and Spaceboy, you retain all rights in Customer Data. We do not claim ownership of your repositories, code, prompts, private project materials, deployed applications, or generated project-specific outputs.

3.3 License to operate the Service. You grant Spaceboy a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, index, analyze, transform, execute, deploy, and otherwise process Customer Data as necessary to provide, secure, support, maintain, improve, and troubleshoot the Service; to comply with law; and as otherwise permitted by this Agreement or the Privacy Policy.

3.4 Generated output. Subject to this Agreement, and as between you and Spaceboy, you may use outputs generated by the Service for your internal business and development purposes and in the applications you build and deploy. You are responsible for reviewing, testing, validating, securing, licensing, and approving all outputs before relying on them, merging them, deploying them, publishing them, or providing them to others.

3.5 Similar outputs. AI systems may generate similar or identical outputs for different users. Spaceboy does not guarantee that any output is unique, protectable, non-infringing, accurate, secure, complete, or suitable for your use case.

3.6 Third-party materials in output. Outputs may reflect patterns, libraries, frameworks, package names, commands, APIs, or other third-party materials. You are responsible for reviewing license obligations, attribution requirements, security implications, and compatibility before using any output.

4. Integrations and Connected Services

4.1 Your authorization. By connecting a third-party service to Spaceboy, installing a Spaceboy app, authorizing OAuth access, providing an API key or access token, or directing Spaceboy to provision a resource, you authorize Spaceboy to access, use, transmit, store, and process information from that service as necessary to perform the requested functions. Integration credentials are stored in a dedicated secrets management system.

4.2 Supported integrations. Integrations currently include, as applicable: GitHub (repository hosting and read-only repository import for Repo Migration), Slack (chat, deploy, and domain commands), Google Cloud (bring your own project for deployments), Cursor (bring your own API key for agent runs), Shopify (theme preview against your store using a Theme Access token), and Apple App Store Connect (iOS build distribution using your API key). Available integrations may change over time and some require specific plans.

4.3 Scope of access. The scope of Spaceboy's access depends on the permissions you grant, the third-party service's permission model, and your Spaceboy configuration. Examples include repository read/write and pull request access, Slack channel messages where the app is installed, Shopify theme development access to your storefront, deployment permissions in connected Google Cloud projects, and build upload rights in App Store Connect.

4.4 Revocation. You may revoke integration access through Spaceboy or the relevant third-party service. Revoking access may disable features, interrupt agent tasks or deployments, or cause the Service to lose access to repository context, tokens, messages, or events needed to operate.

4.5 Third-party terms. Your use of third-party services is governed by their own agreements, policies, and permission systems. Spaceboy is not responsible for third-party services, outages, security practices, data handling, rate limits, pricing changes, deprecations, account suspensions, or policy changes.

4.6 Shared and customer-owned resources. Spaceboy supports different provisioning models. By default, deployed environments run on Spaceboy-managed cloud infrastructure and are made available to you through Spaceboy. Where supported, you may instead connect your own cloud accounts (such as Google Cloud), in which case those resources are created in your accounts, you bear their costs, and your agreements with those providers govern them. The applicable configuration, ownership, export rights, access rights, billing responsibility, and migration process may depend on your plan, order form, or project settings.

4.7 No circumvention of provider rules. You may not use Spaceboy to bypass access restrictions, rate limits, license terms, security controls, or usage policies of third-party providers.

5. Agents, Workspaces, Repository Access, and Code Execution

5.1 Agent behavior. Spaceboy agents may reason over Customer Data, draft code changes, recommend actions, run commands, create branches and commits, open pull requests, respond in chat and Slack, trigger deployments you request, or take other actions you authorize. Agents are probabilistic software systems and may make mistakes.

5.2 Human review required. You must review and approve agent work before merging, deploying, releasing, sending to customers, or using it in production unless you have intentionally configured an automated workflow. Even when you configure automation, you remain responsible for the results.

5.3 Repository cloning and workspace data. To perform tasks, Spaceboy may clone repositories, fetch branches, inspect file trees, retain chat conversations and agent session records so sessions can be resumed, and store workspace snapshots, caches, and derived context for performance, continuity, debugging, auditability, and agent quality.

5.4 Remote workspaces. Spaceboy runs agent sessions and previews in hosted, isolated workspace environments. Workspaces may install dependencies, execute scripts, run tests, call APIs, access package registries, or interact with connected services according to your configuration. You are responsible for ensuring that repository scripts, dependencies, and commands are safe to run and do not violate law or third-party terms. Workspace time and agent runs may be metered and billed as described in Section 8.

5.5 Credentials and secrets. You must not include unnecessary secrets in prompts, source code, logs, or messages. Where you provide secrets, tokens, API keys, environment variables, or cloud credentials to the Service, you authorize Spaceboy to store, transmit, and use them to provide the requested functionality. Spaceboy uses secrets management, encryption, and access controls, but you remain responsible for rotating credentials and limiting scopes.

5.6 Destructive actions. Agents or users may be able to perform destructive actions, such as deleting files, modifying branches, changing configurations, running database queries, creating or revoking credentials, or triggering and tearing down deployments. You are responsible for configuring permissions, approval flows, branch protections, backups, and review gates appropriate for your risk tolerance.

5.7 High-risk applications. Unless expressly agreed in writing, the Service is not designed to be the sole control mechanism for regulated systems, safety-critical systems, emergency services, medical devices, aircraft, weapons, nuclear facilities, or other high-risk applications where failure could result in death, personal injury, property damage, severe environmental harm, or legal compliance failures.

6. Deployed Environments, Domains, and End Users

6.1 Hosted deployments. When you deploy an environment, Spaceboy provisions and operates infrastructure for your application, which may include web hosting, serverless functions, a database, and an authentication service for your application's end users. Provisioned environments may carry recurring fees and metered overages as described in Section 8 and on the pricing page.

6.2 Your applications and your end users. You are solely responsible for the applications you build and deploy through the Service, including their content, functionality, security, and legal compliance. If your application collects or processes personal information from end users, you are the controller of that data and must provide your own privacy policy and terms, obtain any required consents, and comply with applicable law. Spaceboy processes your application's end-user data as your service provider.

6.3 Authentication emails and sender domains. The Service may send authentication and transactional emails (such as sign-in links and password resets) to your application's end users on your behalf, including from sender domains you configure. You are responsible for the content and lawful use of these emails and must not use them for marketing, spam, or deceptive purposes.

6.4 Custom domains. You may connect custom domains you own or control to deployed environments. You represent that you have the right to use each domain you connect, and you are responsible for your DNS configuration and domain registrations. Spaceboy may provision and manage TLS certificates for connected domains.

6.5 Free plan and attribution. Free plan deployments may be limited in number and may display a "Made with Spaceboy" badge or similar attribution. Plan limits and attribution requirements are described on the pricing page and may change over time.

6.6 Teardown and suspension. We may suspend or tear down deployed environments for nonpayment, exhausted usage credits, violation of this Agreement, security risk, abuse, excessive resource consumption, or termination of your account, as described in Sections 8 and 13. You are responsible for maintaining copies of your code (which remains in your connected repositories) and for exporting application data you need before an environment is removed.

6.7 Availability. Deployed environments are provided without an uptime guarantee unless an order form states otherwise. They are not intended for workloads requiring guaranteed availability.

7. Acceptable Use

You will not, and will not permit anyone else to, use the Service or applications deployed through it to:

  • violate any law, regulation, contract, intellectual property right, privacy right, or other right;
  • upload or process content you do not have the right to use;
  • attempt to gain unauthorized access to systems, networks, accounts, repositories, tokens, secrets, or data;
  • introduce malware, ransomware, spyware, credential stealers, destructive payloads, or malicious code;
  • conduct phishing, spam, fraud, social engineering, credential harvesting, surveillance, or deception, including through authentication emails or deployed applications;
  • use the Service to develop, improve, or deploy malware or systems intended primarily to evade detection, exfiltrate data, or compromise security;
  • mine cryptocurrency, run unrelated compute workloads, or otherwise abuse workspace or deployment resources beyond their intended development and hosting purposes;
  • overload, probe, scan, scrape, reverse engineer, or interfere with the Service or its infrastructure except as expressly permitted by a written security testing policy;
  • remove, obscure, or alter proprietary notices or required attribution;
  • use the Service to train competing foundation models or build a substantially similar service by copying Spaceboy's interface, prompts, workflows, agent architecture, or outputs at scale;
  • process regulated data such as protected health information, payment card data, government identifiers, children's data, biometric data, export-controlled technical data, or highly sensitive personal data unless your plan, order form, and Spaceboy's written terms expressly permit it; or
  • misrepresent AI-generated output as human-authored where disclosure is legally or contractually required.

8. Billing, Plans, Usage Credits, and Payment

8.1 Plans and fees. The Service offers subscription plans (billed monthly or annually) and prepaid usage credits. Subscriptions include plan features, capacity, and a monthly grant of usage credits; metered usage such as workspace session time, agent runs, deployed environment fees, and infrastructure usage (such as database storage, and network egress beyond any included amount) draws down usage credits at the rates published on the pricing page or your order form. Agent runs executed with your own connected Cursor API key are not debited from your credits.

8.2 Payment and payment processor. Payments are processed by our payment processor. You authorize Spaceboy and its payment processor to charge applicable fees, taxes, and recurring subscription charges to your payment method. Team plans are billed per seat, and seat quantities may be adjusted (with proration) as members are added or removed. Unless stated otherwise, fees and purchased credits are non-refundable except as required by law or expressly stated in an order form.

8.3 Purchased credits and automatic top-ups. You may purchase additional usage credits. Purchased credits do not expire. If you enable automatic top-ups, you authorize Spaceboy to save your payment method and charge it off-session for the configured top-up amount when your combined credit balance falls below the configured threshold. You may disable automatic top-ups at any time, and we will disable them automatically if a charge is declined.

8.4 Usage limits and exhaustion. If your usage credits are exhausted, we may block new workspace sessions, agent runs, and deployments until you top up, and we may suspend running sessions or environments with significantly negative balances. Plan credit grants, rollover rules, and gate behavior are described on the pricing page and in product documentation.

8.5 Taxes. Fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes, duties, and governmental charges, other than taxes based on Spaceboy's net income.

8.6 Free, trial, and beta features. Free, trial, preview, alpha, or beta features may be modified, discontinued, rate-limited, suspended, or terminated at any time and may be provided with reduced commitments or no support.

9. Intellectual Property

9.1 Spaceboy technology. Spaceboy and its licensors retain all rights in the Service, software, interfaces, workflows, prompts, models, agent orchestration, infrastructure, templates, documentation, branding, design, and other technology, excluding Customer Data. Project templates are provided so you can build on them; the code provisioned into your repository from a template becomes part of your Customer Data.

9.2 Limited license. Subject to this Agreement, Spaceboy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the applicable subscription term.

9.3 Feedback. If you provide feedback, ideas, suggestions, or recommendations, you grant Spaceboy a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

9.4 Open source. The Service may generate, recommend, install, or interact with open-source software. Open-source software is governed by its applicable license, not this Agreement. You are responsible for complying with applicable open-source licenses.

10. Confidentiality

10.1 Confidential information. Each party may receive non-public information from the other that is marked confidential or should reasonably be understood to be confidential, including Customer Data, security information, business plans, product plans, pricing, credentials, source code, and technical information.

10.2 Obligations. The receiving party will use confidential information only to perform or receive the Service, will protect it using reasonable care, and will not disclose it except to personnel, contractors, advisors, subprocessors, or service providers who need to know it and are bound by confidentiality obligations.

10.3 Exceptions. Confidentiality obligations do not apply to information that is publicly available without breach, independently developed without use of confidential information, rightfully received from a third party without confidentiality obligations, or required to be disclosed by law.

11. Privacy

Spaceboy's Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Service, you acknowledge the Privacy Policy. For Customer Data that contains personal information — including end-user data in applications you deploy through the Service — you are responsible for providing required notices, obtaining required consents, selecting lawful bases for processing, responding to end-user requests where applicable, and ensuring you have the right to provide that information to Spaceboy.

12. Service Availability, Support, and Changes

12.1 Availability. We aim to provide reliable service, but the Service, including workspaces and deployed environments, may be unavailable due to maintenance, updates, outages, third-party failures, security events, rate limits, or other causes.

12.2 Changes. We may modify, suspend, or discontinue features. For material changes to paid core functionality, we will use reasonable efforts to provide notice when practicable.

12.3 Support. Support obligations, if any, are described in your plan, order form, or support policy.

13. Termination and Suspension

13.1 Termination by you. You may stop using the Service at any time. You may close your account or terminate a subscription through the dashboard or by contacting us, subject to your order form and payment obligations.

13.2 Suspension by Spaceboy. We may suspend or limit access, including suspending workspace sessions and deployed environments, if we reasonably believe that: (a) you violated this Agreement; (b) your use creates security, legal, operational, or financial risk; (c) payment is overdue or usage credits are exhausted; (d) a third-party provider requires suspension; or (e) suspension is necessary to protect the Service or others.

13.3 Termination by Spaceboy. We may terminate this Agreement or your access if you materially breach it and fail to cure within a reasonable period after notice, or immediately for serious violations, unlawful activity, security risks, or nonpayment.

13.4 Effect of termination. Upon termination, your right to use the Service ends and deployed environments may be torn down. We may delete or disable access to Customer Data according to the Privacy Policy, data retention practices, and applicable law. Your source code remains in your connected repositories; you are responsible for exporting any other Customer Data, including deployed application data, before termination.

13.5 Survival. Sections concerning ownership, confidentiality, disclaimers, limitations of liability, indemnity, payment obligations, governing law, and any provisions that by their nature should survive will survive termination.

14. Disclaimers

THE SERVICE, INCLUDING AI OUTPUTS, AGENTS, CODE SUGGESTIONS, AUTOMATION, INTEGRATIONS, WORKSPACES, DEPLOYED ENVIRONMENTS, AND BETA FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPOBOT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND ERROR-FREE OPERATION.

REPOBOT DOES NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, COMPLETE, SECURE, NON-INFRINGING, COMPLIANT, PRODUCTION-READY, OR FREE OF VULNERABILITIES. YOU ARE RESPONSIBLE FOR HUMAN REVIEW, TESTING, SECURITY REVIEW, LICENSE REVIEW, AND DEPLOYMENT DECISIONS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPOBOT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, SECURITY INCIDENTS CAUSED BY YOUR SYSTEMS OR INTEGRATIONS, PROCUREMENT OF SUBSTITUTE SERVICES, OR UNAUTHORIZED ACCESS CAUSED BY YOUR CREDENTIALS OR CONFIGURATION, EVEN IF REPOBOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPOBOT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO REPOBOT FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnity

You will defend, indemnify, and hold harmless Spaceboy and its officers, directors, employees, contractors, agents, affiliates, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) Customer Data; (b) your repositories, products, services, or deployed applications; (c) your use of outputs; (d) your violation of this Agreement or law; (e) your integrations, credentials, configurations, domains, or instructions; or (f) disputes between you and your users, employees, contractors, customers, end users, or third-party providers.

17. Export, Sanctions, and Compliance

You must comply with applicable export control, sanctions, anti-corruption, and procurement laws. You may not use the Service in embargoed jurisdictions, by sanctioned parties, or for prohibited end uses. You are responsible for determining whether Customer Data includes export-controlled technical data or other restricted content.

18. Publicity

Unless you opt out by written notice, Spaceboy may identify you as a customer using your name and logo in customer lists and marketing materials. Spaceboy will not publish case studies or press releases about you without your consent.

19. Government Use

If you are a government entity or contractor, the Service is provided as commercial computer software and commercial computer software documentation. Government rights are limited to those rights expressly granted in this Agreement.

20. Modifications to this Agreement

We may update this Agreement from time to time. If we make material changes, we will provide notice by posting the updated Agreement, sending email, or using in-product notice. The updated Agreement becomes effective on the stated effective date. Continued use of the Service after the effective date constitutes acceptance.

21. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Delaware, excluding conflict-of-laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Wilmington, Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

Any dispute arising out of or relating to this Agreement or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, on an individual basis. Each party waives any right to trial by jury and any right to participate in class, consolidated, or representative actions, except that claims eligible for small claims court may be brought there.

22. Miscellaneous

This Agreement is the entire agreement between you and Spaceboy regarding the Service and supersedes prior agreements on the same subject, unless an order form or negotiated agreement expressly states otherwise. If any provision is unenforceable, the remaining provisions remain effective. You may not assign this Agreement without Spaceboy's consent, except in connection with a merger, acquisition, or sale of substantially all assets. Spaceboy may assign this Agreement in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law. No waiver is effective unless in writing. The parties are independent contractors. Notices may be sent to the email address associated with your account or to the contact information below.
